Welcome to Path. These Terms & Conditions (“Terms”) explain the rules for using our products, services, and app (together, the “Services”). Please read them carefully. By using our Services, you agree to these Terms. If you disagree, you should not use Path.

Path. Health & Wellness, LLC (“Path.,” “we,” “our,” or “us”) provides the Path. Smart System (smart scale, smart measuring tool, and mobile app) and related services are designed to support women on their wellness journey.

2. Who Can Use Path.
You must be at least 18 years old to use our Services.

You are responsible for all activity that occurs under your account and for keeping your password secure.

We may suspend, reclaim, or restrict usernames if they are misleading, inappropriate, or infringe on the rights of others.

3. Our Services
Path. provides tools and insights to help track wellness progress.

Path. is not a medical device or service and should not replace professional medical advice. Always consult your healthcare provider for medical guidance.

4. Purchases & Membership
Pricing and membership details are shown at checkout and on our website.

By placing an order, you agree to provide complete and accurate payment and account information and to keep it updated.
Sales tax and shipping may apply.

If your membership renews, you authorize recurring charges until canceled.

We reserve the right to refuse or cancel orders, limit quantities, or update pricing and availability at any time.

5. Returns & Refunds
We want you to feel confident in your purchase. Please review our Return & Refund Policy, posted on our site, for full details before ordering.

6. Intellectual Property & License
Everything you see in Path. - our software, content, designs, and trademarks - belongs to us or our partners.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Path. app and devices for your personal, non-commercial purposes, in line with these Terms.

7. User Responsibilities
Path. is designed to be a supportive and safe space. By using our Services, you agree not to misuse them. Specifically, you will not:
Break any laws or regulations while using Path.

Post, upload, transmit, or share anything unlawful, harmful, harassing, defamatory, fraudulent, obscene, or misleading.

Infringe on the rights of others, including intellectual property, privacy, or publicity rights.

Attempt to interfere with or disrupt the security, integrity, or performance of our Services.

Copy, modify, reverse engineer, resell, or otherwise misuse our software, content, or devices.

Use Path. to advertise, solicit, or promote products or services without our permission.

Harass, threaten, or abuse our team members or other users.

We may suspend or terminate your access to Path. if you violate these responsibilities.

8. Reviews & Feedback
We love hearing from you. When you share suggestions, reviews, testimonials, photos, videos, or other content with us (“Feedback”), you agree that:
You remain the owner of your original content.

You give Path. a perpetual, worldwide, royalty-free license to use, reproduce, display, adapt, publish, and distribute your Feedback in any format, including marketing and promotional materials, across digital, print, and video channels.

If your Feedback includes your photo, video, or likeness, you give us explicit consent to use it for marketing, subject to any additional written or electronic release we may request.

We may use your first name, initials, or other non-identifying details alongside your Feedback unless you ask us not to.

You will not submit anything you don’t have the right to share, or that violates these Terms.

This means we can highlight real stories from our community—while respecting your ownership, identity, and privacy.

9. Privacy & Data
We respect your privacy. By using Path., you agree to our Privacy Policy, which explains how we collect, use, and protect your information.
Residents of certain states (such as California or Virginia) may have additional rights regarding personal information. These are explained in our Privacy Policy.

10. Service Availability
We work hard to keep Path. reliable, but we cannot guarantee that our Services will always be uninterrupted, timely, or error-free. From time to time, access may be limited or unavailable due to maintenance, updates, or circumstances outside our control (such as internet outages, service provider failures, or force majeure events).

We may also update, suspend, or discontinue parts of the Services when needed. If we do, we’ll make reasonable efforts to notify you in advance where possible.

Path. is not responsible for any loss, damage, or inconvenience caused by interruptions or changes to the Services that are beyond our reasonable control.

11. Disclaimers
Path. is provided “as is.” We do not guarantee uninterrupted or error-free service.

Path. is not a substitute for professional health advice. Always consult a qualified provider before making medical decisions.

12. Limits of Liability
To the fullest extent permitted by law:

Path. and its affiliates, officers, employees, and partners are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages. This includes (without limitation) loss of profits, revenue, data, goodwill, or other intangible losses, even if we have been advised that such damages could occur.

Path. is not responsible for damages or losses caused by:
 • interruptions or errors in the Services;
 • third-party services or networks outside our control;
 • your misuse of the Services;
 • unauthorized access to your account or data; or
 • negligence claims related to the design, operation, or availability of the Services.

Our total liability for any claim related to the Services - whether based in contract, tort (including negligence), strict liability, or otherwise - will never exceed the amount you paid to us in the six (6) months before the claim arose.

Some jurisdictions do not allow limits on implied warranties or the exclusion of certain damages. If those laws apply to you, parts of this section may not apply, and you may have additional rights.

13. Indemnity
You agree to defend, indemnify, and hold harmless Path. Health & Wellness, LLC, along with our affiliates, officers, employees, partners, and agents, from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
your use or misuse of the Services;

your violation of these Terms;

your violation of any rights of another person or entity (including intellectual property or privacy rights); or

any harmful, unlawful, or fraudulent act by you in connection with the Services.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter that would otherwise be subject to indemnification by you. If we do so, you agree to fully cooperate with us in that defense.

14. Governing Law & Disputes
If any dispute arises out of or relates to these Terms or your use of Path., the following rules apply:
Informal Resolution First: We both agree to try to resolve any dispute informally by contacting each other before pursuing formal action.

Binding Arbitration: If a dispute cannot be resolved informally, it will be resolved by binding arbitration, not in court. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration may be conducted in person, by phone, or online, and the arbitrator’s decision will be final (except for limited review under the Federal Arbitration Act).

Location: Unless we agree otherwise, arbitration will take place in Delaware.

Costs: If the arbitration fees are deemed excessive compared to court costs, Path. will cover them.

Court Proceedings: Either party may bring an action in court only to enforce arbitration, confirm or challenge an arbitration award, or seek injunctive relief for intellectual property or data security issues.

To the fullest extent permitted by law:
No Jury Trial: You waive the right to a trial by jury.

No Class Actions: You agree to bring disputes only on an individual basis. Claims cannot be combined or brought as a class, collective, or representative action.

If any part of this section is found unenforceable, the remainder still applies, and disputes will be resolved in the state or federal courts located in Delaware, where you consent to jurisdiction and venue.
Any arbitration or legal proceeding will be subject to the disclaimers and limitations of liability set out in Section 12 above.

15. Corrections & Updates
There may be information on Path.’s Services that contains typographical errors, inaccuracies, or omissions (including pricing, product descriptions, and availability). We reserve the right to correct, update, or change this information at any time without prior notice.

16. Termination
We may suspend or terminate your access to Path., with or without cause, and with or without notice, at our sole discretion. This includes (but is not limited to) situations where you violate these Terms, misuse the Services, fail to pay applicable fees, or if we discontinue part of the Services.
You may stop using Path. at any time. If you cancel a paid membership, the cancellation will take effect at the end of your current billing period, unless otherwise stated at checkout.
If your access ends:
Your right to use the Services stops immediately.

We may, but are not required to, retain your account data for a period of time in case you return.

Where required by consumer protection laws, you will have the ability to request a copy of your personal data or account history before permanent deletion, as described in our Privacy Policy.

Termination does not limit any of our other rights or remedies under these Terms or applicable law.

17. Electronic Communications
By using Path., you agree to receive communications from us electronically, including through the app, email, and SMS/text messaging (if you provide your mobile number). You consent to the use of electronic signatures, records, and disclosures in connection with your use of the Services, consistent with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state laws.
This means:
Agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing.

You consent to receive transactional, service-related, and (where you opt in) marketing communications electronically, including via SMS/text.

Standard text messaging rates may apply, and you can opt out of SMS/text messages at any time by following the instructions provided in those messages.

If you withdraw consent for electronic communications, you may not be able to fully use the Services.

18. Changes to These Terms
We may update these Terms from time to time. If we make major changes, we’ll let you know (for example, through the app or email). Continued use of Path. means you accept the new Terms.

14. Governing Law & Disputes
These Terms are governed by and interpreted under the laws of the State of Delaware, USA, without regard to conflict of law principles.
If any dispute arises out of or relates to these Terms or your use of Path., it must be brought exclusively in the state or federal courts located in Delaware. By using Path., you consent to the personal jurisdiction and venue of those courts and waive any objections based on jurisdiction, venue, or forum non conveniens.
To the fullest extent permitted by law:
No Jury Trial: You waive the right to a trial by jury.

No Class Actions: You agree that disputes must be resolved individually, not as part of a class, consolidated, or representative action.

If any part of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
